Terms of Use and Subscription Agreement

Curriculum & Educational Content Platform

PLEASE READ THESE TERMS OF USE AND SUBSCRIPTION AGREEMENT ("AGREEMENT") CAREFULLY BEFORE ACCESSING OR USING THE SCIENCE EXPLORERS CURRICULUM PLATFORM. BY ACCESSING, PURCHASING, OR USING ANY MATERIALS, LESSONS, OR CONTENT HOSTED ON THIS PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY ALL OF THE FOLLOWING TERMS AND CONDITIONS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THIS PLATFORM.

1. Agreement to Terms

This Agreement is entered into between you ("User," "Subscriber," or "Customer") and Science Explorers, LLC, also operating as Science Explorers School, Science Explorers Curriculum, and Science Explorers Online Programming (collectively "Science Explorers," "we," "us," or "our"). These Terms govern your access to and use of all educational content, curriculum materials, lesson plans, activities, videos, guides, downloadable resources, and any other materials (collectively, "Content" or "Materials") made available through our Teachable-hosted platform and any associated websites or services.

Your use of this platform constitutes your binding acceptance of these Terms. Science Explorers reserves the right to modify these Terms at any time, and continued use of the platform following any such modification constitutes your acceptance of the revised Terms. We encourage you to review this Agreement periodically.

2. Proprietary Ownership and Intellectual Property

2.1 Ownership of All Content

All curriculum materials, lesson plans, instructional content, STEM activities, guides, videos, images, graphics, worksheets, assessments, program structures, methodologies, branding, and any other content made available through the Science Explorers platform are the sole and exclusive intellectual property of Science Explorers. This includes, without limitation:

All written materials, lesson scripts, and instructional frameworks
All original STEM experiments, activity designs, and program sequences
All visual assets, photographs, illustrations, and branded graphics
All video content, recorded lessons, and audio materials
All downloadable documents, PDFs, and printable resources
The overall curriculum structure, scope and sequence, and pedagogical methodology
All names, logos, trademarks, service marks, and trade dress associated with Science Explorers

2.2 Copyright and Trademark Protection

All Content is protected by United States and international copyright law, trademark law, trade secret law, and other applicable intellectual property laws and treaties. Science Explorers holds all rights, title, and interest in and to the Content. No Content may be used, reproduced, distributed, transmitted, displayed, published, licensed, or otherwise exploited except as expressly authorized in this Agreement.

The names "Science Explorers," "Science Explorers School," "Science Explorers Curriculum," and associated logos and branding are trademarks and service marks of Science Explorers. Nothing in this Agreement grants you any right or license to use any Science Explorers trademark, service mark, trade name, or logo.

2.3 No Transfer of Title

Your purchase of a subscription or access to any Content constitutes the purchase of a limited license only, not a transfer of title or ownership. Science Explorers retains full and complete ownership of all Content at all times, including during and after your subscription period.

3. License Grant and Restrictions

3.1 Limited License

Subject to your full compliance with these Terms and payment of all applicable fees, Science Explorers grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Content solely for your own internal, personal, non-commercial, instructional purposes during the active term of your subscription.

3.2 Permitted Uses

Under this limited license, you may:

Access and view Content through the Science Explorers platform during your active subscription period
Use Content in direct instruction and delivery of Science Explorers-licensed programs in accordance with any applicable license agreement for program delivery
Print limited copies of downloadable materials for direct classroom or program use during the active subscription period only

3.3 Strictly Prohibited Uses

Notwithstanding the limited license granted above, the following uses are expressly prohibited and constitute a material breach of this Agreement:

Copying, reproducing, duplicating, or downloading Content in bulk for use beyond the subscription period
Sharing, distributing, transmitting, or providing access to Content to any third party who has not individually purchased access through Science Explorers
Selling, reselling, sublicensing, renting, lending, or otherwise commercially exploiting any Content
Using Content to develop, create, or produce your own competing curriculum, program, or educational materials
Incorporating Content, in whole or in part, into any other educational program, course, product, or service not explicitly licensed by Science Explorers
Removing, obscuring, or altering any copyright notices, trademark notices, watermarks, or other proprietary markings on or within any Content
Uploading, posting, or distributing Content to any external website, cloud storage platform, social media, learning management system, or other digital or physical medium outside of the Science Explorers platform
Using Content after your subscription has expired, been cancelled, or been terminated for any reason
Archiving, saving, or systematically downloading Content during your subscription period with intent to continue using it after subscription expiration
Modifying, adapting, translating, creating derivative works from, or reverse engineering any Content
Using Content for any purpose that competes, directly or indirectly, with the business of Science Explorers
Granting others access to your account credentials to allow unauthorized users to access Content
Using automated tools, bots, scrapers, or any other means to bulk-download or systematically copy Content

4. Subscription Terms and Access

4.1 Subscription Period

Access to Content is granted only for the duration of your active, paid subscription period. Subscription terms may include monthly, annual, or other defined periods as specified at the time of purchase. Science Explorers may offer multiple subscription tiers with varying levels of access, and the specific Content available to you is limited to what is included in your selected subscription tier.

4.2 Automatic Termination of Access

YOUR ACCESS TO ALL CONTENT WILL AUTOMATICALLY TERMINATE UPON THE EXPIRATION, CANCELLATION, OR TERMINATION OF YOUR SUBSCRIPTION FOR ANY REASON. This termination is immediate and unconditional. Following termination:

You will no longer be permitted to access, view, use, or benefit from any Content
Any previously downloaded or saved materials may no longer be used and must be permanently deleted from all devices and storage media
Any printed materials produced during your subscription period may no longer be reproduced or distributed
Your license to use all Content is immediately revoked

4.3 Post-Subscription Use Prohibited

It is a violation of this Agreement and applicable intellectual property law to continue using, referencing, reproducing, or distributing any Content obtained through the Science Explorers platform after your subscription has ended. The fact that you accessed or possessed Content during your subscription period does not grant you any ongoing right to use that Content after the subscription terminates. Doing so constitutes copyright infringement, breach of contract, and may subject you to civil and criminal liability.

4.4 Subscription Renewal

Subscriptions do not automatically renew unless you have expressly opted into auto-renewal at the time of purchase or subsequently. Science Explorers is not responsible for loss of access due to failure to renew. It is your responsibility to ensure your subscription remains active if you wish to continue accessing Content.

4.5 Manual Registrations

In cases where Science Explorers manually processes a registration and grants platform access, the same Terms, restrictions, and obligations apply in full. The method by which access is granted does not alter the nature of the license or your obligations under this Agreement.

5. Account Responsibilities

5.1 Account Security

You are solely responsible for maintaining the confidentiality of your account login credentials and for all activity that occurs under your account. You agree to immediately notify Science Explorers of any unauthorized use of your account or any other breach of security. Sharing your account credentials with any other person or entity is strictly prohibited and constitutes a material breach of this Agreement.

5.2 Accurate Information

You represent and warrant that all information you provide to Science Explorers in connection with your account and subscription is accurate, current, and complete. You agree to promptly update your account information to keep it accurate.

5.3 Acceptable Use

You agree to use the platform only for lawful purposes and in a manner consistent with these Terms. You will not engage in any conduct that could damage, disable, overburden, or impair the platform or interfere with any other party's use of the platform.

6. Confidentiality of Curriculum Materials

You acknowledge that the Content contains proprietary, confidential, and competitively sensitive business information belonging to Science Explorers. You agree to treat all Content as strictly confidential and to take all reasonable steps to protect the confidentiality of the Content. You will not disclose, share, or make Content available to any third party without the prior written consent of Science Explorers. This obligation of confidentiality survives the termination or expiration of your subscription and this Agreement indefinitely.

7. Enforcement and Remedies

7.1 Monitoring and Enforcement

Science Explorers reserves the right to monitor use of the platform to ensure compliance with these Terms. We may employ technological measures, including digital rights management, watermarking, and access logs, to detect and prevent unauthorized use of Content.

7.2 Breach and Termination

Any violation of these Terms, including any unauthorized use, reproduction, or distribution of Content, constitutes a material breach of this Agreement. Upon any breach, Science Explorers may, in its sole discretion and without notice:

Immediately terminate your account and subscription without refund
Permanently revoke your access to the platform
Bar you from future access to any Science Explorers platform or program
Pursue all available legal remedies

7.3 Legal Remedies

You acknowledge that any unauthorized use or disclosure of the Content would cause Science Explorers irreparable harm for which monetary damages alone would be an inadequate remedy. Accordingly, Science Explorers shall be entitled to seek injunctive relief, specific performance, and other equitable remedies in addition to any other remedies available at law or in equity, without the requirement of posting a bond.

7.4 Damages

In the event of a breach of these Terms, you agree to pay Science Explorers all damages, losses, costs, and expenses, including reasonable attorneys' fees and court costs, incurred by Science Explorers in connection with enforcing its rights under this Agreement. You acknowledge that the full extent of damages resulting from unauthorized use of proprietary curriculum may be difficult to quantify and agree that statutory damages under applicable copyright law may apply.

8. Payment Terms

All subscription fees are due and payable in advance of the subscription period. All sales are final. Refunds are not provided for any reason except as expressly stated in a separate refund policy, if any, established by Science Explorers. Failure to pay any amounts due may result in immediate suspension or termination of access. You are responsible for all applicable taxes associated with your purchase.

9. Platform Access and Availability

The Science Explorers platform is hosted by Teachable, a third-party platform provider. Science Explorers makes no warranties or representations regarding the availability, uptime, or performance of the Teachable platform. Temporary interruptions in access due to maintenance, technical issues, or third-party platform outages do not constitute grounds for a refund or extension of your subscription period unless Science Explorers expressly determines otherwise in its sole discretion.

Science Explorers reserves the right to modify, update, add to, or remove Content from the platform at any time without notice. Your subscription grants access to Content as it exists at any given time and does not guarantee the continued availability of any specific piece of Content.

10. Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SCIENCE EXPLORERS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. SCIENCE EXPLORERS MAKES NO WARRANTY REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR CURRENTNESS OF ANY CONTENT.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCIENCE EXPLORERS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, REVENUE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM OR CONTENT, EVEN IF SCIENCE EXPLORERS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SCIENCE EXPLORERS'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO SCIENCE EXPLORERS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Science Explorers and its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

Your violation of these Terms
Your use or misuse of the Content or platform
Your infringement of any intellectual property or other right of any person or entity
Any unauthorized sharing, distribution, or reproduction of Content by you or anyone accessing the platform through your account
Any claim by a third party arising from your breach of this Agreement

13. Privacy

Your use of the Science Explorers platform is also governed by our Privacy Policy, which is incorporated herein by reference. The Privacy Policy describes how we collect, use, and share information about you in connection with your use of our services. By using the platform, you consent to the collection and use of your information as described in the Privacy Policy. 14. Children and Minor Users

Science Explorers programs serve students in Kindergarten through fifth grade, and our curriculum is designed for use by licensed adult educators and program operators, not directly by minor students. The platform is intended for use by adults only. If you are granting access to the platform to staff or employees, you are responsible for ensuring that all such users comply with these Terms. Science Explorers does not knowingly collect personal information from children under the age of 13 through this platform.

15. Third-Party Links and Services

The platform may contain links to third-party websites or services. These links are provided for your convenience only. Science Explorers has no control over and is not responsible for the content, privacy practices, or availability of any third-party website. The inclusion of any link does not constitute an endorsement by Science Explorers of the linked website. Your use of any third-party website is at your own risk.

16. Modifications to Terms and Content

Science Explorers reserves the right to modify these Terms at any time. We will notify you of material changes by posting the revised Terms on our website or platform with a new effective date. Your continued use of the platform following any modification constitutes your binding acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the platform immediately.

Science Explorers also reserves the right to modify, update, add to, discontinue, or retire any portion of the platform or any Content at any time and for any reason without prior notice. We are not obligated to provide any specific Content or maintain any particular feature of the platform.

17. Governing Law and Dispute Resolution

17.1 Governing Law

This Agreement and any dispute arising from or related to it shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law principles. You consent to the exclusive jurisdiction of the state and federal courts located within Pennsylvania for resolution of any disputes arising under this Agreement.

17.2 Informal Resolution

Before initiating any formal legal proceeding, you agree to first contact Science Explorers and attempt to resolve the dispute informally by providing written notice of the dispute. The parties agree to negotiate in good faith for a period of thirty (30) days before pursuing formal remedies.

17.3 No Class Actions

To the extent permitted by applicable law, any claims arising under this Agreement must be brought on an individual basis only. You waive your right to participate in any class action, collective action, or representative action in connection with any dispute arising under this Agreement.

18. Entire Agreement and Severability

This Agreement, together with the Science Explorers Privacy Policy and any additional terms applicable to specific programs or subscriptions, constitutes the entire agreement between you and Science Explorers with respect to your use of the platform and supersedes all prior and contemporaneous agreements, understandings, and representations.

If any provision of this Agreement is found to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it will be severed from the Agreement. The remaining provisions will continue in full force and effect.

19. Waiver

The failure of Science Explorers to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. Any waiver of any provision of this Agreement will be effective only if in writing and signed by an authorized representative of Science Explorers.

Acknowledgment and Acceptance

BY ACCESSING OR USING THE SCIENCE EXPLORERS PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF USE IN THEIR ENTIRETY, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. YOU FURTHER ACKNOWLEDGE THAT THESE TERMS REPRESENT THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND SCIENCE EXPLORERS WITH RESPECT TO THE SUBJECT MATTER HEREOF.

If you do not agree to these Terms, your sole remedy is to immediately cease all use of the Science Explorers platform and Content.
